Please read these Terms of Service ("Terms") carefully before using the ekko application and platform ("ekko," "Service," "we," "our," or "us"). By creating an account or using ekko, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User" or "you") and ekko, a company incorporated in the United States. By accessing or using ekko, you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to comply with these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

ekko is an AI-powered content generation platform designed to help individuals and businesses build their personal or professional brand on social media platforms such as LinkedIn and Instagram. The Service allows you to:

• Provide information about your personal interests, expertise, and brand identity
• Upload photos, videos, or audio to support content creation
• Receive AI-assisted draft content for your review
• Review, edit, and approve content before publishing

ekko acts as a creative assistant. All content generated by our AI is presented to you for review and approval. ekko does not autonomously publish content on your behalf without your explicit action.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account and use ekko. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at the contact email provided in Section 13 if you suspect any unauthorized use of your account.

3.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.

4. User Content and Ownership

4.1 Your Content

You retain full ownership of all content, information, images, videos, and materials you upload or input into ekko ("User Content"). By uploading User Content, you grant ekko a limited, non-exclusive, royalty-free license to use, process, and analyze that content solely for the purpose of providing the Service to you.

4.2 AI-Generated Content

Content drafted by ekko's AI is generated on your behalf based on inputs you provide. Once you review and approve such content, you assume full responsibility for it. ekko makes no guarantee that AI-generated content is original, accurate, or free from errors, and you should always review it before use.

4.3 Content Standards

You agree that User Content you upload and any content you publish using ekko will not:

• Violate any applicable law, regulation, or third-party rights
• Contain false, misleading, or defamatory statements
• Include hate speech, harassment, or content that promotes violence or discrimination
• Infringe on any intellectual property, copyright, trademark, or privacy rights
• Contain spam, unsolicited commercial communications, or deceptive material

5. AI Assistance and Limitations

ekko uses artificial intelligence to assist in generating social media content. You acknowledge and agree that:

• AI-generated content is a creative suggestion, not professional advice of any kind
• ekko does not guarantee the accuracy, originality, or fitness of AI-generated content for any particular purpose
• You are solely responsible for reviewing, editing, and approving any content before publication
• ekko is not liable for any consequences arising from content you choose to publish

You should not rely on ekko's output as legal, financial, medical, or professional advice.

6. Prohibited Uses

You agree not to use ekko for any of the following purposes:

• Generating spam, mass unsolicited messages, or deceptive content
• Impersonating another person, brand, or entity
• Scraping, reverse engineering, or extracting data from the platform
• Attempting to gain unauthorized access to ekko's systems or other users' accounts
• Using the Service to develop competing products or services
• Uploading content that contains malware, viruses, or malicious code
• Engaging in any activity that disrupts or interferes with the Service
• Violating the terms of any social media platform to which you publish content via ekko

Violation of these prohibitions may result in immediate suspension or termination of your account.

7. Intellectual Property

7.1 ekko's IP

All rights, title, and interest in and to the ekko platform, including its software, design, algorithms, branding, and underlying technology, are and remain the exclusive property of ekko. These Terms do not grant you any rights to ekko's intellectual property except the limited right to use the Service as described herein.

7.2 Feedback

If you submit feedback, suggestions, or ideas about ekko, you grant us a perpetual, irrevocable, royalty-free right to use and incorporate such feedback into the Service without any obligation to you.

8. Third-Party Platforms

ekko may allow you to connect to and publish content on third-party social media platforms such as LinkedIn and Instagram. Your use of those platforms is governed by their own terms of service and privacy policies. ekko is not responsible for the actions, policies, or content of any third-party platform.

You are solely responsible for ensuring your use of those platforms complies with their respective terms, including rules around automated content, scheduling, and personal branding.

9. Subscription, Payments, and Cancellation

9.1 Paid Plans

ekko may offer free and paid subscription tiers. Details of pricing, features, and billing cycles will be presented to you at the time of purchase. By subscribing to a paid plan, you authorize ekko to charge your designated payment method on a recurring basis.

9.2 Refunds

All payments are final unless otherwise required by applicable law. If you believe you have been incorrectly charged, please contact us within 30 days of the charge at the email provided in Section 13.

9.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that date.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EKKO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ekko does not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EKKO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall ekko's total liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the amount you paid to ekko in the six (6) months preceding the claim, or (b) one hundred U.S. dollars ($100).

12. Termination

Either party may terminate this agreement at any time. You may close your account through your account settings. We reserve the right to suspend or terminate your account at our discretion, with or without notice, if we determine you have violated these Terms or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections related to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Dallas, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree to resolve disputes with ekko on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent in-app notice at least 14 days before the changes take effect. Your continued use of ekko after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Service and may close your account.
